                           DIRECTORS SHARE DEALINGS





Caledonia Investments plc ('Caledonia') announces the following dealings by
directors on 28 June 2001 in Caledonia ordinary shares of 5p each ('Shares'):





Major M G Wyatt exercised options over a total of 6,500 Shares at exercise
prices per Share of 495p (3,000 Shares), 653p (2,000 Shares) and 693p (1,500
shares). All of these Shares were retained by Major Wyatt.

Sir David Kinloch exercised options over a total of 6,667 Shares at an
exercise price per Share of 337p. All of these Shares were sold at 872p per
Share.

Mr J H Cartwright exercised options over a total of 36,001 Shares at exercise
prices per Share of 337p (13,334 Shares), 354p (16,667 Shares) and 495p (6,000
Shares). All of the Shares were sold at 872p per Share, of which 1,497 Shares
were sold by Mr Cartwright and 34,504 Shares by his spouse, Mrs J A
Cartwright, following a gift inter vivos.

The Honourable C W Cayzer exercised options over a total of 8,900 Shares at an
exercise price per Share of 337p. All of these Shares were sold at 872p per
Share.

The Caledonia Investments plc Employee Share Trust ('Trust') in which all
executive directors of Caledonia are interested as potential beneficiaries,
transferred a total of 86,567 Shares to source options being exercised under
the Caledonia Investments plc Executive Share Option Scheme. The Shares were
transferred at exercise prices per Share of 337p (28,901 Shares), 354p (21,667
Shares), 495p (12,334 Shares), 653p (9,500 Shares), 657p (5,333 Shares), 693p
(3,167 Shares), 745p (3,999 Shares) and 781p (1,666 Shares). The Trust
immediately repurchased 75,067 of the Shares transferred to option holders at
872p per Share. The Shares transferred and repurchased by the Trust included
all of option exercises and sales by the directors of Caledonia referred to
above.



Following these transactions the interests of the directors of Caledonia
referred to above and the Trust in Caledonia Shares were as follows:
