The issuer has made the following amendment to the Directors Shareholding
announcement released on 16 June 2000 at 07.05am under RNS No 3195M.

Caledonia Investments plc ('Caledonia') announced that, following the exercise
of options by certain directors of Caledonia, the Caledonia Investments plc
Employee Share Trust held 622,734 Caledonia ordinary shares. The number of
shares held by the Trust should have been stated as '590,734' shares,
representing '0.74%' of the total issued ordinary share capital and not
'622,734' shares, representing '0.78%' as previously shown.  

All other details remain unchanged.

Notification of Directors' Interests

Caledonia Investments plc ('Caledonia') announces that directors of Caledonia
have exercised options and sold Caledonia shares arising therefrom, on 14 June
2000 as follows:-

The options were sourced by the Caledonia Investments plc Employee Share Trust,
of which each executive director is potentially a beneficiary, and which also
repurchased all of the shares sold by the directors.

Following these transactions, the interests of the above directors and the
Caledonia Investments plc Employee Share Trust in the ordinary share capital of
Caledonia is as follows:-
