Result of General Meeting

The Company announces that at its General Meeting held earlier today, all Resolutions put to shareholders were duly passed.

The passing of the Resolutions at the General Meeting completed the Subscription Agreement with Ventures Africa Limited (VAL). Consequently 107,000,000 subscription shares will be allotted and issued to VAL on such terms as described in the Circular sent to shareholders on 26 March 2015. Accordingly, application will be made for such shares to be admitted to AIM and such admission is expected to occur on or around 17 April 2015.

The Company will therefore have 211,655,162 Ordinary Shares in issue with voting rights and admitted to AIM following the admission of the subscription shares. This figure may be used by shareholders in the Company as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.

The completion of the Subscription Agreement provided for certain changes to the Board to take place on or from Completion. VAL is entitled to nominate 3 additional Directors, subject to due diligence of such directors, and a further announcement will be made in due course regarding their appointment. Messrs. Paul Turner, Itai Mazaiwana and Fred Jones remain on the board to oversee the transition and an update on their position will be made at the appropriate time. The current board therefore remains as Ian Perkins, Edzo Wisman, Paul Turner, Itai Mazaiwana and Fred Jones.
