1.       LTIP

Following achievement of the performance target relating to LTIP awards made on
31 March 2004, the following Persons Discharging Managerial Responsibilities
(PDMRs) were transferred from the Carillion plc Employee Share Ownership Trust
(the Trust) on 3 April 2007 the following number of Carillion plc ordinary
shares of 50p each:-

 2. ESOS

Additionally and following achievement of the performance target relating to
Executive Share Options granted on 31 March 2004, the following PDMRs exercised
options at £1.849 over

the number shown of Carillion plc ordinary shares of 50p each. The shares were
transferred from the Carillion plc Employee Share Ownership Trust (the Trust) on
2 April 2007.
