      Deferred Bonus Plan and Carillion plc Employee Share Ownership Trust

The following Person Discharging Managerial Responsibility (PDMR) was granted an
award on 8 April 2005 under the Carillion Deferred Bonus Plan (the Plan) over
the following number of shares:-
                                            No. of Ordinary Shares of 50p each
Don Kenny, MD Carillion Business Services   11,290

For the purposes of the Plan, the shares were held in the Carillion plc Employee
Share Ownership Trust (the Trust) for 12 months before being transferred to the
PDMR.

These shares were subsequently transferred to Mr. Kenny on 6 June 2006. Mr.
Kenny met the tax/NI liability from his own resources.

The total number of Carillion Ordinary Shares of 50p each now held by Mr.Kenny
following this transaction is 11,447.

Following this transaction, the Trust holds 1,942,372 shares (0.69% of the
issued share capital).
