Notification of Directors Interests in Shares
Carillion plc (the Company) reports that on 7th January 2000 the following
directors of the Company acquired interests in the ordinary shares of the
Company up to a maximum of the figure shown against each name. The interests
arose by reason of a conditional award made under the Companys Long Term
Incentive Plan. Any actual award of shares will be dependent upon the Companys
total shareholder return over a performance period ending on 31st December
2002 compared with total shareholder return achieved over the same period by a
comparator group of companies.
