   OFFER BY CARRS BILLINGTON AGRICULTURE LIMITED FOR AF PLC
                               
                 Unconditional in all respects
                               
                               
Carr's,   the   agriculture,  flour  milling  and  engineering
business,  announces that the recommended  offer  for  AF,  an
unlisted  public  company which operates two  compound  animal
feed  mills and six retail stores, announced on 14 April 2000,
by  CBA, its 50:50 joint venture with Edward Billington &  Son
Limited, has become unconditional in all respects, with  valid
acceptances representing approximately 51% of the issued share
capital of AF. The offer has been extended until 3:00pm on  19
May 2000.
