RE: BROCHURE OF PARTICULARS

Application has been made for 2,582,232 Ordinary Shares of nominal value €0.25
each in the capital of Celtic Resources to be admitted to dealing on the
Exploration Securities Market of the Irish Stock Exchange. These Ordinary shares
have been allotted to staff, consultants and advisers as announced on 28 January
2002 and are within specific allotment authority sought and received at the
Annual General meeting of the Company on 23 July 2001.
