Possible Offer Talks Ended

                  CHEMRING GROUP PLC ('CHEMRING')

Following a movement in its share price Chemring  announced on
22nd June, 1999 that it had received a bid approach which was
being evaluated.  At the time it was thought unlikely that this
would lead to a recommended offer.  This has proved to be the case
and discussions have now ended.
