DIRECTORS DEALING and SUBSTANTIAL SHAREHOLDINGS
In accordance with section 324 and section 198 of the Company's Act 1985, as
amended, the following transactions were notified to the Company on 15 May 2003.
On 15 May 2003 Andrew David Roper transferred 2,040,000 10p ordinary shares,
representing 19.1% of the issued ordinary share capital of the Company, from his
family trusts, in which he holds a non - beneficial interest, to his children
James Alexander Roper and Sally Roper. After the above transaction Mr Roper
retains a total interest in 862,430 ordinary shares (8.1% of the issued share
capital), of which 200,000 ordinary shares represent a non - beneficial
interest.
As a result of the above transaction James Alexander Roper and Sally Roper have
each acquired an interest in 1,020,000 ordinary shares, representing 9.6% of the
issued share capital of the Company.
The market price of the Company's shares on the date of the transfer was 137.5p.
