Churchill China plc (the 'Company')
Phantom Share Scheme
In accordance with the rules of the Company's Phantom Share Scheme (the
'Scheme'), the following Directors of the Company were granted awards under the
Scheme on 19 December 2007 at a base value of 300p.

The maximum gain under the awards has been capped at 250p per phantom share in
the case of options exercisable after 20 December 2010 and 400p per phantom
share in the case of options exercisable after 20 December 2011. Under the terms
of the Scheme the options must be exercised by 18 December 2012.
A further 140,000 such awards were made to other employees of the Group on the
same terms as above, amounting to a total grant of 260,000 phantom shares under
the Scheme.
