Directors Shareholdings

On 30 April 2004, Churchill China plc granted options over 10,000 of its
ordinary shares under the Unapproved Executive Share Option Scheme at a price of
208p to each of D.J.S.Taylor, D.M.O'Connor and R.N.Grundy.

After the grant of these options the Directors retain an interest in the
