City of London announces that at the Annual General Meeting of the Company held today, all resolutions were duly passed.

The Board notes the shareholder response to special resolution 19 which amended the Articles of Association. In proposing the resolution, the Company was seeking to address the potential for inconsistency between the Directors' fee cap in the Articles of Association and the more detailed controls within the Directors' Remuneration Policy.  The Company will engage with shareholders to determine how best to address the concerns, which could include proposing reinstatement of the Directors' fee cap in the Articles of Association.
