This notification is made in accordance with DTR 3.1.4(1).
On 10 May 2013 in fulfilment of the restricted share element of the 2012 bonus, as disclosed in the 2012 annual report, the following awards over ordinary shares of 25p each in the Company were granted under the Clarkson PLC Long Term Incentive Plan (the "Plan") to Executive Directors of the Company. No consideration was paid for the grant of the awards.
The vesting of the restricted share awards is subject to continued employment and they will normally vest on 30 April 2017.

On 10 May 2013, the following options over ordinary shares in the Company were granted at nil cost under the Plan.
The vesting of these options is subject to the fulfilment of certain performance conditions and continued employment of the directors. If these conditions are met, these options will normally vest and become exercisable on the later of the third anniversary of grant and the fulfilment of the relevant performance conditions.
