Notification of Transaction by Persons Discharging Managerial Responsibilities ("PDMRs")

Close Brothers Group plc (the 'Company') wishes to notify the following transaction in the Ordinary shares of 25p each in the Company ('Shares') on behalf of Preben Prebensen, Group Chief Executive (a director and PDMR of the Company):

The vesting of 29,753 nil-cost Shares under the Company's Restricted Share Award Scheme.  The number of Shares which vested was increased to reflect the value of dividends paid on those Shares prior to the vesting date.

Following the above transaction, Mr Prebensen's total beneficial holding in the Company is 104,888 Shares.

The above information is disclosed pursuant to Disclosures and Transparency Rule 3.1.4R.
