NOTIFICATION OF MAJOR INTERESTS IN SHARES
Close Brothers Group plc ("CBG") have been notified on 13th October 2005 that on
11th October 2005 Morgan Stanley Securities Limited ("MSSL") disposed of an
interest in the shares of CBG that resulted in their holding decreasing to
6,298,351, being approximately 4.34% of the issued share capital of CBG.
MSSL have also advised that from time to time 6,259,363 of their holding of CBG
shares are transferred to a third party on terms which give them the right to
require the return of an equivalent number of CBG shares. Accordingly, their
interest is 6,259,363 shares pursuant to Section 208(5) of the Companies Act
1985.
MSSL is a member of the Morgan Stanley group of companies. Those group companies
which are direct or indirect holding companies of MSSL are, under the terms of
section 203 of the Companies Act 1985, each interested by attribution in any
shares in which MSSL is interested.
