TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 27 January 2012 it transferred 4,172 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was nil.

Following the transfer of these shares, the Company holds 3,793,043 of its ordinary shares in treasury and has 146,767,425 ordinary shares in issue (excluding treasury shares).
