DIRECTOR HOLDINGS IN COMPANY

LONDON - Tuesday, 27th December 2005

Cardinal Resources plc (AIM:CDL), an independent oil and gas production and
exploration company, was notified that on 23rd December 2005, Robert J Bensh,
Chairman and Chief Executive Officer of Cardinal, purchased 125,000 Cardinal
Ordinary Shares at a price of 21.95p.

Mr. Bensh's total holding in the Company now equals 1,318,533 Cardinal Ordinary
Shares, or 1.15% of the issued share capital.
