                  CLS Holdings plc ('CLS' or 'the Company')

   Proposed purchase of up to 1,959,211 ordinary shares of 25p each in the
            Company by way of a tender offer (the 'Tender Offer')


                         Closure of the Tender Offer


The board of CLS is pleased to confirm that the Company's recent Tender Offer,
as described in the Tender Offer document dated 20 April 2001, is now closed,
having received acceptance for the Tender Offer in full by its shareholders.
CLS's issued share capital following cancellation of 1,959,211 ordinary shares
under the Tender Offer will stand at 106,918,493 ordinary shares.
