OFFER OF CAPITAL NOTES BY GPG FINANCE PLC
GUINNESS PEAT GROUP PLC
Guinness Peat Group plc ("GPG") advises that its subsidiary, GPG Finance plc
will open its Capital Notes offer on Wednesday, 30th July 2003. The offer is
for an aggregate principal amount of NZ$200 million and GPG Finance has the
ability to accept up to NZ$25 million of over subscriptions. The offer is made
only to New Zealand resident investors.
Capital Notes with an aggregate principal amount of NZ$200 million have been
fully allocated on a firm basis to members of the NZX and invited financial
institutions. GPG Finance received strong applications for firm allocations and
as a result it was necessary to apply scaling in making these allocations.
The Capital Notes will pay a minimum coupon of 8.6% per annum payable quarterly
and have an initial election date of 15 December 2008. The Capital Notes are
guaranteed on an unsecured and subordinated basis by GPG.
The offer will close on 29 August 2003 for applicants pursuant to firm
allocations, and on 4 September 2003 for public pool applications. GPG Finance
intends to exercise its right to accept over-subscriptions to the maximum amount
of NZ$25 million of Capital Notes.
To obtain a copy of the combined Investment Statement and Prospectus, investors
in New Zealand should contact their stockbroker or financial advisor.
Alternatively investors who wish to apply under the public pool can call 0800
657 657 to request a copy. Offer documents will be available from Wednesday, 30
July 2003.
GPG Finance's previous issue of NZ$250 million of capital notes, undertaken in
2001, was strongly sought by investors and closed significantly over-subscribed.
The new Capital Notes have a very similar structure to the previous capital
notes.
The Chairman of GPG, Sir Ron Brierley said, "These capital notes will provide a
useful complement to GPG's existing financial resources and will enable GPG to
act decisively in relation to new investment opportunities. The issue will
provide New Zealand investors with another opportunity to invest in GPG
following on from our first highly successful capital notes issue."
