NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Compass Group PLC (the "Company") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 pence each in the share capital of the Company ("Shares").

Share Option Exercise and Long-Term Incentive Plan Release

On 7 January 2010, Miguel Ramis, a PDMR who is responsible for the majority of the Group's European and Latin American businesses, requested the release of an award made to him under the Long-Term Incentive Plan (which was granted for nil consideration) following satisfaction of both the Free Cash Flow and Total Shareholder Return performance conditions in the three years ended 30 September 2009 and 237,650 Shares were accordingly issued.  

On 7 January 2010, Mr Ramis also exercised 247,000, 125,000 and 125,000 share options at option prices of 371.60p, 320.00p and 229.25p per Share respectively and disposed of all the resulting 497,000 Shares at 456.8446p per Share.  

Following these transactions, Mr Ramis' shareholding has increased to 600,000 Shares, representing  0.03216% of the issued share capital.
