Regency Mines plc ("Regency" or the "Company") announces that YA Global Master SPV, Ltd. ('YA Global'), which is advised by Yorkville Advisors LLC, has subscribed for 10,249,550 ordinary shares of 0.1 pence each in the Company ("Ordinary Shares") under the terms of the Standby Equity Distribution Agreement ("SEDA") between Regency and YA Global, at a price of 1.957644 pence per Share (the "Subscription"). The proceeds of the Subscription are £200,650 before expenses, conditional on the Shares being admitted to trading on AIM, which are being applied towards reducing the Company's loan with YA Global Master SPV Ltd. announced on 17 June 2011.

Following the Subscription the Company's total issued ordinary share capital will be 622,201,135 ordinary shares of 0.1p. Application has been made to the London Stock Exchange for the new Ordinary Shares, which rank pari passu with the Company's existing issued Ordinary Shares, to be admitted to trading on AIM. Dealings are expected to commence at 8.00 a.m. on 27 October 2011.
