Croda International Plc ('Croda' or the 'Company')
Announcement of Result of Extraordinary General Meeting ('EGM')
Croda announces that the resolutions to approve the proposed acquisition of the
Uniqema business of Imperial Chemicals Industries PLC (the 'Acquisition') and
the associated exceeding of the current permitted borrowing limit, the terms of
which were described in the circular to shareholders dated 10 August 2006, were
passed by the Company's shareholders at the EGM held earlier today. The
Acquisition is expected to complete on 1 September 2006.
A copy of the resolutions passed at the Company's EGM has been submitted to the
UK Listing Authority and will shortly be available for inspection at the UK
Listing Authority's Document Viewing Facility, which is situated at the
Financial Services Authority, 25 The North Colonnade, Canary Wharf, London E14
5HS (telephone number 020 7676 1000), during normal business hours on any
weekday (public holidays excepted).
The resolutions proposed at the Company's EGM were carried on a show of hands.
The proxy votes cast in respect of the resolutions received prior to the meeting
were as follows:
