ISSUE OF EQUITY

The Board of Investors Capital Trust plc announces that on 20 August 2013 the Company sold from treasury 125,000 B shares at a price of 98.50p per B share.

Following this transaction the Company's issued share capital consists of 102,067,144 A shares and 32,076,703 B shares, of which 10,289,000 A shares and 330,000 B shares are held in treasury.  Therefore the total number of shares with voting rights in Investors Capital Trust plc is 91,778,144 A shares and 31,746,703 B shares.

The above figures (91,778,144 and 31,746,703) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Investors Capital Trust plc under the FCA's Disclosure and Transparency Rules.
