TRANSACTION IN OWN SHARES

The Board of Investors Capital Trust plc announces that on 30 March 2016 the Company purchased 600,000 A shares at a price of 89.5p per A share to be held in treasury and purchased 150,000 B shares at a price of 90.0p per B share to be held in treasury.

Following these transactions the Company's issued share capital consists of 102,067,144 A shares and 32,076,703 B shares, of which 12,639,000 A shares and 650,000 B shares are held in treasury.  Therefore the total number of shares with voting rights in Investors Capital Trust plc is 89,428,144 A shares and 31,426,703 B shares.

The above figures (89,428,144 A shares and 31,426,703 B shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Investors Capital Trust plc under the FCA's Disclosure and Transparency Rules.
