Awards under the Performance Share Plan ('PSP')
The following awards have been made to Directors under the PSP.
Director Shares
Roger Taylor 193,015
David Goldie 151,654
Andrew Harrison 124,081
Each award represents a nil cost option to acquire the shares, subject to
performance conditions. 50% of the award is based on total shareholder return
relative to the FTSE 100 and 50% is based on absolute total shareholder return.
The awards will vest in two tranches. 50% will vest in June 2010 and 50% will
vest in June 2011, subject in each case to certain performance conditions being
maintained until the vesting date.
The number of shares awarded may be increased up to a maximum of five times the
base award for exceptional performance over the relevant periods. For
performance below the conditions for each period, no award will be made. All
awards are subject to the rules of the PSP.
