Carphone Warehouse Group plc ("Company")

Director Shareholding

Charles Dunstone, Chairman of the Company, has today transferred 250,000 shares in the Company by way of gift into The Charles Dunstone Charitable Trust. He is not a trustee or beneficiary of such trust.

As a result of this transfer, Charles Dunstone now holds 132,833,481

shares, representing approximately 29.06% of the issued share capital of the Company.
