Exercise of Options and Total Voting Rights
CVS, one of the UK's leading providers of integrated veterinary services, confirms that certain employees have exercised options during March under the CVS Group 2019 SAYE Plan (2019/2023) totalling 6,904 ordinary shares of 0.2 pence each ("Ordinary Shares").
The issuance of shares in connection with the SAYE Exercise was partially satisfied by 3,008 Ordinary Shares held by the CVS Group Employee Benefit Trust (the "EBT"). Following the SAYE Exercise, a total of 384 Ordinary Shares are held by the EBT, representing approximately 0.001% of the Company's total voting rights.
The sum of 3,896 new Ordinary Shares were issued to satisfy the balance of Ordinary Shares arising from the SAYE Exercise. Admission of the 3,896 new Ordinary Shares has been satisfied by the Company's block listing admitted to the London Stock Exchange on 30 December 2021.
Following the issue of these new Ordinary Shares, which rank pari passu in all respects with the Company's existing Ordinary Shares, the Company has a total issued share capital of 71,388,944 Ordinary Shares, each carrying one voting right. The Company holds no Ordinary Shares in treasury and the total number of voting rights is therefore 71,388,944.
This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in the Company under the FCA's Disclosure Guidance and Transparency Rules.
