            AWARDS MADE UNDER THE COMPANY'S PERFORMANCE SHARE PLAN IN THE FORM OF NIL COST OPTIONS. SUBJECT TO PERFORMANCE CONDITIONS MEASURED OVER THREE YEARS, 60 PER CENT OF THE AWARD WILL VEST AND BECOME EXERCISABLE ON THE THIRD ANNIVERSARY AND 40 PER CENT WILL VEST AND BECOME EXERCISABLE ON THE FOURTH ANNIVERSARY OF GRANT. THE COMPANY MAY TRANSFER ADDITIONAL SHARES EQUIVALENT IN VALUE TO THE AMOUNT OF DIVIDENDS THAT WOULD HAVE BEEN RECEIVED SINCE GRANT IN RESPECT OF THE NUMBER OF SHARES THAT ARE ACQUIRED UNDER THE PLAN.
