The Company on 13 February 2001 received a letter dated 13 February 2001 from
Schroder Investment Management Limited giving notice that, pursuant to s198
Companies Act (as amended) by the Disclosure of Interest in Shares (Amendment)
Regulations 1993, their interest in the Ordinary Shares of 25p each of the
Company is as follows:

'Schroder Investment Management Limited have an interest in 32,934,673 shares
which are held in portfolios managed by us on a discretionary basis for
clients under investment management agreements.

Included in this figure are:
(i)  12,903,557 shares registered or to be registered in the name of our
     wholly-owned subsidiary nominee company, Schroder Nominees Limited
     (Schroder Nominees),
(ii) 11,619,680 shares held in (a) unit(s) operated and managed by another
     wholly-owned subsidiary, Schroder Unit Trusts Limited (SUTL), and
     registered or to be registered in the name of Chase Nominees Limited, and
(iii) 8,411,436 shares neither registered nor to be registered in the name of
     Schroder Nominees or Popeshead. The registration details are shown in
     Schedule A.

Another affiliated company, Schroder Hermes, is managing 288,454 shares in (a)
portfolio(s) on a passive (index tracker) basis for clients under investment
management agreements. These shares are registered or to be registered in the
name of Chase Nominees Limited.

An affiliated company, Schroder Investment Management North America Inc (SIMNA
Inc) is managing (a) portfolio(s) on a similar basis holding a further
1,300,000 shares. These shares are registered or to be registered in the name
of Chase Nominees Limited.'

Schroder Investment Management Limited and its subsidiary and affiliated
companies are therefore interested in an overall aggregate of 34,523,127
shares, representing some 17.93% of the total number of shares in issue,
namely 192,544,068.
