The Company on 21 October 2003 received a letter dated 21 October 2003 from
Schroder Investment Management Limited giving notice that, pursuant to s198
Companies Act (as amended) by the Disclosure of Interest in Shares (Amendment)
Regulations 1993, their interest in the Ordinary Shares of 25p each of the
Company is as follows:


'Schroder Investment Management Limited have an interest in 25,980,086 shares
which are held in portfolios managed by us on a discretionary basis for clients
under investment management agreements.


Included in this figure are:

(i)   7,920,938 shares registered or to be registered in the name of our
      wholly-owned subsidiary nominee company, Schroder Nominees Limited
      (Schroder Nominees),

(ii)  7,107,847 shares held in (a) unit trusts(s) operated and managed by an
      affiliated company, Schroder Unit Trusts Limited (SUTL), and registered or
      to be registered in the name of Chase Nominees Limited, and

(iii) 10,951,301 shares neither registered nor to be registered in the name of
      Schroder Nominees or Chase Nominees Limited. The registration details are
      shown on the Schedule below.


An affiliated company, Schroder Investment Management North America Inc (SIMNA
Inc), is managing (a) portfolio(s) on a similar basis holding a further
1,150,000 shares. These shares are registered or to be registered in the name of
Chase Nominees Limited.


A subsidiary, Schroder Investment Management North America Ltd (SIMNA Ltd), is
managing (a) portfolio(s) on a similar basis holding a further 157,800 shares.
These shares are registered or to be registered in the name of Chase Nominees
Limited.


Schroder Investment Management Limited and its subsidiary and affiliated
companies are therefore interested in an overall aggregate of 27,287,886 shares,
representing some 14.99% of the total number of shares in issue, namely
182,065,160.
