                     Voting Rights and Issued Share Capital



In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:


De La Rue plc's issued share capital as at 22 December 2006 comprises
160,850,247 ordinary shares with voting rights. No ordinary shares are held in
Treasury.


Therefore, the total number of voting rights in the Company is 160,850,247.


The above figure of 160,850,247 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, De La Rue plc, under the
FSA's Disclosure and Transparency Rules.
