RECOMMENDED CASH ACQUISITION

Update on Financing Arrangements
On 2 June 2023, the boards of directors of Bidco and Dechra announced that they had reached agreement on the terms and conditions of a recommended cash acquisition by Bidco of the entire issued, and to be issued, ordinary share capital of Dechra (the "Acquisition"). The Acquisition is being implemented by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme") and is subject to the terms and conditions set out in the circular in relation to the Scheme sent to Dechra Shareholders dated 26 June 2023 (the "Scheme Document"). As announced by Dechra on 20 July 2023, the Scheme and its implementation were approved by the requisite majority of Scheme Shareholders and Dechra Shareholders (as applicable) on 20 July 2023 at the Court Meeting and the General Meeting (respectively).
Capitalised terms used but not otherwise defined in this announcement (the "Announcement") have the meanings set out in the Scheme Document. All references to times in this Announcement are to London, United Kingdom times, unless otherwise stated.
Entry into Senior Facilities Agreement
In the Scheme Document (see Part 5, paragraph 7.2(ii)), it was stated that a portion of the consideration payable by Bidco to the Scheme Shareholders shall be funded through debt funding under the Interim Facilities Agreement entered into on 2 June 2023, by and among Bidco, Freya Holdco Limited, as parent, the Interim Lenders and Wilmington Trust (London) Limited as agent and security agent, among others.
Bidco announces that, on 31 October 2023, Bidco and Freya Holdco Limited (amongst others) have entered into: (i) a senior facilities agreement (the "Senior Facilities Agreement") with Wilmington Trust (London) Limited as agent and security agent and the original Interim Lenders or affiliates/related funds thereof, which replaces the Interim Facilities Agreement; (ii) an intercreditor agreement with, amongst others, Wilmington Trust (London) Limited as agent and security agent (the "Intercreditor Agreement"); and (iii) certain ancillary documents related thereto, including an agency and security agent fee letter (the "Agency Fee Letter") entered into between Bidco and Wilmington Trust (London) Limited as agent and security agent. BofA Securities and Morgan Stanley in their capacities as joint financial advisers to Bidco, are satisfied that sufficient resources are available to Bidco to satisfy in full the cash consideration payable to Dechra Shareholders under the terms of the Acquisition.

The Acquisition relates to the shares of an English company and is being made by means of a scheme of arrangement provided for under the laws of England and Wales. A transaction effected by means of a scheme of arrangement is not subject to the tender offer or proxy solicitation rules under the U.S. Securities Exchange Act of 1934 (the "U.S. Exchange Act"). Accordingly, the Acquisition is subject to the disclosure requirements and practices applicable in the UK to schemes of arrangement which differ from the disclosure requirements of the U.S. tender offer and proxy solicitation rules.
