                           Voting Rights and Capital



In conformity with the Transparency Directive's transitional provision 6,
Dialight is required to notify the market of the following:



Dialight's capital includes 31,239,501 ordinary shares with voting rights.  None
of these ordinary shares is held in Treasury.



Therefore, the total number of voting rights in Dialight is 31,239,501.



The above figure of 31,239,501 shares may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, Dialight
under the FSA's Disclosure and Transparency Rules.
