easyJet plc ('easyJet' or 'the Company')
RESULTS OF PLACING AND OPEN OFFER
On 29 October 2001, the Company announced a Placing and Open Offer of
26,032,258 new Ordinary Shares. Of these shares, 19,532,258 new Ordinary
Shares were the subject of the Open Offer being made to Qualifying
Shareholders on the basis of 3 new Ordinary Shares for every 40 existing
Ordinary Shares and 6,500,000 new Ordinary Shares were placed on a non
pre-emptive basis with institutional investors. easy Group Limited
('easyGroup'), a company indirectly owned by Stelios Haji-Ioannou, the
chairman of the Company, also agreed to sell 13,000,000 Ordinary Shares in the
Placing. On 2 November 2001, the Company announced that the Offer Price was
375p per share.
The Open Offer closed at 3:00pm on 20 November 2001 and valid applications had
been received at that time for a total of 3,920,397 new Ordinary Shares. This
represents 70.8 per cent of the new Ordinary Shares available to Qualifying
Shareholders other than easyJet Holdings. In accordance with the arrangements
described in the Placing and Open Offer Circular dated 29 October 2001,
easyGroup has therefore subscribed for a total of 15,611,861 new Ordinary
Shares.
As a result of the Placing and Open Offer, easyGroup's shareholding in the
Company now comprises 79,016,497 Ordinary Shares, representing 27.6 per cent
of the enlarged issued share capital of the Company. When taken together with
the number of Ordinary Shares held by companies indirectly owned by Stelios
Haji-Ioannou's brother and sister, this totals 167,573,629 Ordinary Shares,
representing 58.5 per cent of the enlarged issued share capital. Therefore the
number of Ordinary Shares held by persons other than companies indirectly
owned by Stelios Haji-Ioannou and his brother and sister following the Placing
and Open Offer has now increased to 118,888,740 Ordinary Shares, representing
approximately 41.5 per cent of the enlarged issued share capital of the
Company.
Credit Suisse First Boston and UBS Warburg acted as joint lead managers and
joint bookrunners of the Placing and Open Offer.
It is expected that Admission will become effective and that dealings on the
London Stock Exchange in the new Ordinary Shares the subject of the Open Offer
will commence tomorrow, 21 November 2001.
