13 March, 2002: 365 Corporation PLC: Issue of Equity

365 Corporation PLC have issued 436,250 Ordinary Shares of 0.25p each as
follows:

Under the terms of the Sale and Purchase Agreement dated 29 August 2000, for the
acquisition of Compass Telecom Limited, additional consideration in the form of
the allotment of 217,500 Ordinary Shares of 0.25p each ranking pari passu with
the existing issued shares in the capital of the Company was made to the
Vendors.

Under the terms of the Sale and Purchase Agreement dated 8 September, 2000,for
the acquisition of Phones Express Limited, 218,750 Ordinary Shares of 0.25p each
ranking pari passu with the existing issued shares in the capital of the Company
were allotted to the Vendors

Accordingly, application has been made to the UK Listing Authority for these
shares to be admitted to the Official List and for these shares to be admitted
to trading on the London Stock Exchange.

Copies of this announcement are available from the Registered Office of the
Company for the period of 14 days from the date of this announcement.
