Following the successful completion of the 3 year performance measurement, the
1998 conditional allocation of ordinary shares under the Company's Long Term
Performance Related Share Scheme vested today at 100% of grant to 81 senior
executives including 5 executive directors totalling 523,802 shares.
We have also been notified by the trustees of the Enterprise Oil Worldwide and
UK Benefit Trusts of the sale out of, and repurchase into, trust of ordinary
shares in the capital of the Company following this vesting. 423,642 such
shares were sold and repurchased by the trustees on 2 January 2001 at a price
of 575 pence per share. The following directors, A R Armour, I G Craig, Sir
Graham Hearne, P H Jungels, A B Shilston and K P Watts have a technical
interest as potential beneficiaries under the trusts.
Directors' Holdings
The following table shows the shares acquired by the directors for nil
consideration and sold (inter alia to pay consequential income tax
liabilities) on 2 January 2001 at a price of 575 pence per share together with
their current beneficial holdings of shares.
