Directors' and Executives' dealings
Gaming VC Holdings S.A. announces that, further to its announcement made on 2
February 2007 that Kenny Alexander will join the Company as Chief Executive
Officer from 1 March 2007, Mr Alexander has, subject to taking up the
appointment and remaining in the employment of the Company, today been granted
options over a maximum of 800,000 new Ordinary Shares in the Company ('Ordinary
Shares'). The option price agreed is the greater of (i) £1 and (ii) the three
day average of the middle market quotation of the Ordinary Shares on 5 - 7
February 2007. The options will vest over four years and their terms mirror the
rules of the Company's Share Option Plan.
On 7 February, 2007, the Company received notice that, on 6 February 2007,
Steven Barlow, a director of the Company, gifted (for no consideration) 300,000
Ordinary Shares to the Steven Barlow 2007 Qualified Annuity Trust (the '2007
Trust'). The 2007 Trust was established solely for the benefit of Mr. Barlow and
his descendants.
On 6 February 2007, Mr. Barlow previously received 200,000 Ordinary Shares (for
no consideration) out of the Steven Barlow 2005 Annuity Trust (the '2005
Trust'). The first (and final) annuity payment under the Steven Barlow 2005
Annuity Trust required that all 200,000 shares of the Company be distributed to
Mr. Barlow. The 2007 Trust will pay Mr. Barlow an annuity payment on February
6, 2008 and on February 6, 2009. The number of shares that he may receive back
from the 2007 Trust on each of these two anniversary dates will be dependant on
the share price on those dates.
Following these transfers on 6 February 2007, Mr Barlow has the sole beneficial
interest in 2,151,927 Ordinary Shares, representing 6.91% of the existing issued
ordinary share capital of the Company. In addition, he is interested in 300,000
Ordinary Shares (representing 0.96%) held in trust for himself and his
beneficiaries.
