Equity issue and total voting rights
As announced earlier today, European Metals Holdings Limited ("European Metals" or "the Company") (ASX and AIM: EMH) has received firm commitments for the placement of 13 million ordinary shares (represented by Chess Depositary interests or "CDI's") in the Company ("Placing Shares") at an issue price of AU$0.135 per Placing Share to raise AU$1,755,000.
The placement represents approximately 15% of the current issued capital of the Company and has been made to sophisticated investors including the Company's existing largest shareholder, Rare Earth Minerals plc.
The funds have been raised to further development at the Company's 100% owned Cinovec Lithium and Tin Project in the Czech Republic, located on the border with Germany and the Czech Republic.
The placement is priced at a discount of approximately 3% to the 5 day volume weighted average price.
Application will be made for the Placing Shares to be admitted to trading on AIM with admission expected to take place on or around 11 March 2016. The Placing Shares will, when issued, rank pari passu in all respects with the existing ordinary shares in EMH.
Total Voting Rights
Following the issue of the 13 million Placing Shares, the total number of Ordinary Shares in issue with voting rights will be 100,051,762. This figure may be used by shareholders in the Company as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change of interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
