Appointment of Devon Equity Management Limited ("Devon") as Alternative Investment Fund Manager ("AIFM")

Further to its announcement of 25 February 2022, the Company confirms that Devon has been formally appointed as the Company's AFIM with effect from 1 July 2022.

The Board would like to thank FundRock Partners Ltd for their service as outsourced AIFM to date.

Alexander Darwall, CIO of Devon, will continue to be responsible for the portfolio management of the Company, supported by Luca Emo Capodilista, Charlie Southern and James Bird within Devon's investment team. The total fees payable by the Company for AIFM and portfolio management services will be unchanged.

Devon is considered to be a related party of the Company under the Listing Rules. As such, its appointment as the Company's AIFM and the entry into a new investment management agreement (the "Transaction") amounts to a small related party transaction under Listing Rule 11.1.10 R. Cenkos Securities PLC, the Company's sponsor, has provided written confirmation to the Company that the Transaction is fair and reasonable as far as the shareholders of the Company are concerned.
