FUSION OIL & GAS PLC ('Fusion')

Announcement of change in notifiable interests

Fusion was informed on 1 October 2003 that Sterling Energy plc, ('Sterling') had 
received an irrevocable undertaking from Invesco Asset Management Limited to 
accept the offer made on behalf of Sterling for Fusion, in respect of 9,400,000 
ordinary shares in Fusion. Following receipt of this undertaking, Sterling 
Energy plc now held an interest of 29.94 % in Fusion.

Fusion was also notified by Sterling that the registered holders of 20,000,000 
Fusion shares in which they were interested had changed and were now Evolution 
Beeson Gregory Nominees Limited.
