Appointment of Non-Executive Director and Board changes
Introduction
The Board of FDM Group plc, (LSE: FDMG), the IT recruitment business, is today
providing an update to its shareholders following it entering its close period
ahead of the announcement of its interim results for the six months ended 30
June 2006.
The Company is also delighted to announce the appointment of Ivan Martin,
formerly head of the banking division of Misys plc as a Non-Executive Director
of FDM, with immediate effect. Ivan will become the Company's Chairman on 1
October 2006, replacing Brian Divett
Trading update
At the time of the Company's AGM in May, the Board indicated that they were
pleased with the start to the financial year and that trading was in line with
their expectations. Market conditions in both the IT and the recruitment sectors
have remained buoyant and the Company's trading has continued to be robust. The
Board of FDM is therefore pleased to report that both revenues and profits for
the six months to 30 June 2006 were ahead of their expectations.
FDM's three business units, IT Staffing, IT Professional Services and IT
Training have all performed well during the six months to 30 June 2006. The
strength of FDM's business offering and market position has allowed the Company
to secure a number of new, key clients in this period including Reuters, Virgin
Mobile and BNP Paribas. As at 30 June 2006 the Company had 572 contractors on
billing (against 469 as at 30 June 2005) and 138 Mounties employed (against 91
as at 30 June 2005).
The demand for FDM's key areas of expertise remains strong, both in the UK and
overseas. In light of the current continued demand for specialist IT staff, the
Company's strong, diverse and growing customer base and a healthy pipeline of
business, the Board remains confident of FDM's prospects for the remainder of
the year.
FDM will be announcing its interim results for the six months ended 30 June 2006
on 7 September 2006. There will be an analysts meeting at 9.30am at the offices
of Pelham Public Relations, No. 1 Cornhill, London EC3V 3ND.
Board appointment and Board changes
The Board of FDM also announces the appointment of Ivan Martin (aged 51) as Non-
Executive Director of the Company with immediate effect.
Ivan worked at Misys plc during the ten years to December 2005 where he headed
Misys's banking division. Between 1991 and 1995, Ivan worked for the ACT Group
plc, where he was responsible for its healthcare division until it was acquired
by Misys in April 1995.
Ivan has broad experience of the global software and technology markets,
including the USA, Asia, Europe, Africa and the Middle East. He has a strong
track record of growing businesses, both organically and through acquisitions.
He thus brings to FDM a wealth of valuable knowledge and experience in the IT
services sector.
The Board also announces today that Brian Divett, the current Non-Executive
Chairman of the Company, has informed them of his intention to stand down as
Chairman with effect from 1 October 2006, at which point Ivan Martin will become
the Company's Non-Executive Chairman. Brian Divett will remain as a Non-
Executive Director of the Company until 31 December 2006 when, after 16 years as
the Company's Chairman, he will retire from the Board. The Board would like to
place on record their appreciation of all Brian's hard work since FDM was
founded in 1991.
Further details as required under Schedule 2(g) of the AIM Rules are contained
in Appendix One to this announcement.
Rod Flavell, Chief Executive Officer of FDM, commented:
"We are very pleased with our continued strong performance. Our strategy of
attracting higher margin business through our unique Mountie model is producing
excellent results. Our client base remains diverse and blue-chip and we
continue to be invited to tender for a range of interesting projects, reflecting
the health of our markets.
"I would also like to express my personal thanks to Brian Divett, one of FDM's
founding investors, for his chairmanship and support during the last 16 years,
which culminated in the Company's successful flotation last year.
"Finally, I am delighted that we have been able to attract someone with the
calibre and experience of Ivan Martin. His knowledge of our markets and his
successful tenure at Misys will be of great assistance as we continue our
growth."
Commenting on his appointment, Ivan Martin added:
"I would like to echo Rod's sentiments with regard to Brian. As one of the
original founders of FDM, he can take credit for establishing a strong,
successful business.
"I am relishing the opportunity to build upon his achievements and maintain the
high standards of management that he has set. I believe my industry experience
will be helpful as I work with Rod and his colleagues to take FDM forward to the
next stage of its development."
