NOTIFICATION OF TRANSACTIONS OF DIRECTORS / PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES AND CONNECTED PERSONS

Wolseley plc announces that a conditional award of ordinary shares of 10p each in the capital of the Company has been made under the Wolseley Restricted Share Plan 2010 (the "Plan") to the following Person Discharging Managerial Responsibilities ("PDMR"). These shares will only vest in accordance with the rules of the Plan and will normally vest on the third anniversary of the Date of the Award. No director or the Chairman of the Company is able to participate in any award made under the Plan and no consideration is payable either at allocation or on vesting of all or part of the award.
