Wolseley Group Long Term Incentive Plan 2012 ("Plan")

On 18 January 2016, the Executive Director named below received Shares following the vesting of a conditional share award under the Plan.  This was in relation to awards made under the Plan in January 2013.

The table below shows the number of Shares which vested on 18 January 2016.  Those Shares were released and received on 18 January 2016 for nil consideration. The table also shows the number of Shares sold on 18 January 2016 to cover tax and social security withholding liabilities only.  The price for the Shares sold was 3,358 pence per Share.
