Wolseley plc hereby notifies that today it has been notified that on 13 June
2001, 2,000 shares were transferred out of Mr R Ireland's non-beneficial
holding of Wolseley plc shares. As a result, Mr Ireland now holds 42,775
shares in a non-beneficial capacity in Wolseley plc. He also holds 54,318
shares beneficially.
