Directors' Notification of Dealing in Shares

     DIRECTORS SHAREHOLDING - WOLSELEY PLC ORDINARY SHARES OF 25p EACH

Wolsely plc announces today that it was notified on 30 June 2000 that on that
day Mr David Tucker, a director of the company, purchased 8,541 ordinary shares
in the company at 354p per share. Following this purchase, Mr Tucker's holding
in the company's shares is 28,541 shares. On the same day, Mr Andrew J Hutton, a
director of the company sold 14,000 ordinary shares at 354p per share. 
Following the sale Mr Hutton's holding in the company is 29,505 shares.
