Interest in shares pursuant to Section 324 Companies Act 1985

On 12 April 2000, the trustee of the Wolseley plc Qualifying Employee Share
Ownership Trust (the 'Trust') subscribed for 673,443 ordinary shares in Wolseley
plc (the 'Company') at a price of 365.75 pence per share.  These shares were
acquired for use in connection with the company's Employees Savings Related
Share Option Scheme (the 'Scheme').

As beneficiaries of the Trust and as participants in the Scheme, certain
directors have an interest in these shares for the purposes of Section 324 of
the Companies Act 1985.
