Farsight plc (the 'Company') announces that at the EGM held today all
resolutions including those in relation to a secured convertible loan facility
(the 'Loan'), details of which were announced on 1 December 2003, were approved
by shareholders.
The EGM resolutions included an ordinary resolution (the 'Whitewash Resolution')
which approved the waiver by The Panel on Takeovers and Mergers of any
obligation which might otherwise fall on the concert party, comprising Mr J
Dalton, Mr R Davies and Mr M James and their connected parties (the 'Concert
Party'), to make a general offer to the shareholders of the Company under Rule 9
of the City Code on Takeovers and Mergers as a result of the issue of new
ordinary shares issued pursuant to a conversion by them of the Loan.
In accordance with the City Code, the Whitewash Resolution was conducted and
passed following a poll of independent shareholders. Votes in favour of the
Whitewash Resolution were received from holders of 69,894,835 ordinary shares in
the Company, representing 99.73 per cent. of the votes cast by independent
shareholders.
The Company has applied today for 3,250,000 new ordinary shares being issued as
part consideration for professional fees to be admitted to trading on AIM.
Admission is expected to take place on 7 January 2004.
Following the issue of the new ordinary shares, the Company will have
305,727,072 ordinary shares in issue of which the Concert Party will hold shares
representing approximately 39.19 per cent. of the Company's issued share
capital. Assuming no other changes to the Company's issued share capital, the
exercise of the conversion rights of the Loan, assuming full drawdown and
conversion, would result in the Concert Party having a maximum aggregate
shareholding representing approximately 51.17 per cent. of the issued share
capital of the Company.
At the AGM of the Company also held today all resolutions were duly passed.
