Disposal of Datacab Limited ('Datacab')
On 13th July 1999, Hansom completed the sale of Datacab, its London-based
radio taxi circuit subsidiary, to Computer Cab plc ('Computer Cab') for an
initial consideration of £1,296,000, plus a subsequent consideration of
£650,000 linked to future profits.
The subsequent consideration of £650,000 will become payable provided that
Datacab's profit before interest, Hansom's management charge and tax for the
year ending March 2000 is at least £613,000. In the event that the profit is
lower than £613,000 the further consideration will be reduced by £3.05 for
every £1 by which the profit is less than £613,000.
In the financial year ended March 1999, Datacab made an operating profit
before interest, management charges and tax of £348,000 and had net assets of
£155,000.
The Board of Hansom believes that the terms of the sale are fair and
reasonable to shareholders.
The Board of Hansom believes that the acquisition of Datacab by Computer Cab
will allow Datacab to benefit from being part of a larger Group at a time when
regulation of mini cabs is imminent.
Future Prospects
Jonathan Mervis, Chairman, was appointed in August 1996 to reorganise the
businesses and maximise returns to shareholders. A rescue rights issue was
made in December 1996 at 5.5p per share. Inter group loans of £823,069 were
repaid by Datacab to Hansom following the year ended 31st March 1999. After
this latest transaction, Hansom will have realised a minimum of £3,041,069 in
cash from the sale of its Datacab and Richmond Road subsidiaries during the
past twelve months and could receive a maximum of £4,089,069 following
earn-outs, options and instalment payments.
Hansom now has no debt and maximum cash resources per share of 10p. The
Directors believe that Hansom has become an ideal platform to attract a
substantial business. It will provide Hansom's widespread and loyal
shareholders with an opportunity to increase further the value of their
investment.
