FIRSTGROUP PLC - SALE BY CERTAIN EXECUTIVE DIRECTORS OF NIL-PAID RIGHTS
Certain Executive Directors of FirstGroup plc yesterday sold units of
Convertible Unsecured Loan Stock in FirstGroup Acquisition Limited ('CULs'), nil
paid at a price of 18 pence as set out below.

When paid up in full, if the proposed acquisition by FirstGroup plc of Ryder
Public Transportation, Inc. is completed, each CUL will entitle the holder to
one preference share in FirstGroup Acquisition Limited, which will mandatorily
be exchanged for one ordinary share in FirstGroup plc.
